1. Business legal affairs:
• Manage the end-to-end contracting process, including drafting, reviewing, and negotiating agreements (PPA, leasing agreement, MOUs, JV documents, construction contracts, service agreements, etc.)
• Conduct legal research and provide practical legal advice to support commercial decision-making and business development activities, including greenfield projects, joint ventures, and M&A transactions
• Identify and assess regulatory and operational risks specific to regulated sectors.
• Review business plans, policies and externally distributed materials to ensure legal compliance.
2. Corporate/Extended affairs:
• Coordinate IRC applications for new project phases, ERC amendments, and other required licenses or permits. Liaise with regulatory authorities and relevant government bodies when necessary.
• Manage engagement with external counsel for specialized matters.
• Manage corporate secretary matter, governance documentation and internal approval processes of the allocated entities and projects.
3. Compliance, Dispute Resolution
• Update and analyze regulatory frameworks governing company business activities
• Support handling of disputes and coordinate with external counsel when required
• Contribute to the development and implementation of internal compliance policies and procedures
4. Organization:
• Support in developing and strengthening the Legal function
• Coach and guide junior team members when assigned
• Contribute to knowledge sharing and internal legal awareness
* Working time: 9 AM - 6 PM Mon - Fri
• Bachelor’s degree in law; lawyer-practicing certificate is an advantage
• At least 5 years of experience of experience at reputable law firms or as in-house counsel
• Solid knowledge of Vietnamese laws relating to corporate, investment, commercial, M&A matters
• Strong commend of English (written and spoken).
