Purpose of this position:

The Senior Legal Officer will support the Head of Legal in handling all legal matters related to the Company and its subsidiaries within the Group from a Vietnamese legal perspective, as directed from time to time.

Under the Head of Legal’s instructions, the Senior Legal Officer will be responsible for providing legal advice on the Company’s business and operations, reviewing and revising transaction documents, and delivering legal updates on laws and regulations relevant to the Company’s activities (e.g., ERC, IRC, permits, licenses, EPC contracts, PPA, O&M Agreement, Connection Agreements, Loan Agreement, SPA, SHA and other commercial agreements). Additionally, the Senior Legal Officer will coordinate with relevant departments within the Company, the Group, and external parties to ensure the smooth operation of the Company and its subsidiaries, including the establishment of special purpose vehicles, mergers and acquisitions, project/corporate financing, and project development, all in compliance with Vietnamese law.


Duties and Responsibilities:

- Provide general counsel and advice on Vietnamese legal matters.

- Draft, review, advise on, and negotiate contracts, agreements, and other legal documents related to the Company’s and Group’s business development and operations.

- Ensure all permits, licenses, and approvals necessary for the Company’s and Group’s daily operations and new projects are procured.

- Localize and implement Group policies in Vietnam, ensuring compliance with corporate policies and good corporate governance principles.

- Provide legal clarification and interpretation to other departments within the Company and Group, addressing any queries.

- Regularly update and share relevant Vietnamese laws, rules, and regulations with the appropriate departments.

- Conduct legal research and analysis on a case-by-case basis.

- Build and maintain working relationships with key government agencies as directed by the Head of Legal.

- Handle inquiries and investigations from government agencies.

- Provide legal support for community relations activities.

- Coordinate with and manage external service providers, including external counsel.

- Understand the commercial objectives, strategies, and operational pressures of the business to identify legal risks and communicate them effectively to the Head of Legal or project team for informed decision-making.

- Act as the secretary of the Board of Directors (BOD), liaising with directors and board members, convening meetings, preparing meeting minutes, and drafting other corporate documents for the Company.

- Assist the Head of Legal in managing the legal department in line with both country-level and group-level policies.

- Provide coaching and mentorship to team members through experiential learning.

- Perform other legal-related tasks as assigned by the Head of Legal.


Yêu cầu công việc:

Minimum Education:

Bachelor’s degree in Laws. A licensed lawyer would be an advantage.


Professional Experience:

- Having at least 4 years of working experience in an international law firm or a reputable Vietnamese law firm or a reputation company.

- Industry experience in the energy industry is preferred.

- Having very good knowledges of Vietnamese Laws, Rules & Regulations

- Having good legal skills such as legal research, legal writing, and legal thinking.

- Ability to legal clarification/ interpretation/communication on both verbal and writing.


Preferred Knowledge:

- Have knowledge and experience in handling Power Purchase Agreements (PPAs) and Engineering, Procurement, and Construction (EPC) contracts.

- Good connection & Networking with Government Officer & Partners


Required Skill:

- Advanced / fluent English and Vietnamese in both verbal and written (IELTS 6.5 or above, TOEIC 700).

- Clear and logical thinking and professionalism as a lawyer.

- Skillfully in interpersonal, time management, communication, detail-oriented, well-organized.

- Have good problem-solving skills, analytical thinking skills, negotiation skills, CAN-DO attitude and pioneering spirits.

- Pro-active and able to work under pressure and deadlines, work independently with minimal supervision.

- Maintain personal and team performance despite ambiguity and change.

- Flexibility to travel. The role will be based in Ho Chi Minh City but may also require travel within Vietnam including remote locations on case-by-case basis.
