Head of Legal & Internal Control Department (Real Estate, $3.800, ID 21623)

1. Strategic Compliance & Risk Frameworks (15%)

• Formulate annual operational strategies, departmental budgets, performance metrics, and reporting channels in sync with enterprise scale.
• Establish legal risk exposure matrixes, compliance protocols, internal control checklists, and early warning escalation procedures.
• Advise top leadership on optimizing governance models, authority limits, task segregation, and critical control points.

2. Mergers & Acquisitions and Corporate Restructuring (20%)

• Direct the full legal lifecycle of M&A transactions: transaction structuring, data room creation, NDA oversight, legal due diligence (red flag reporting), transaction document execution, regulatory approvals, and post-merger integration.
• Lead the drafting, reviewing, and negotiation of LOIs, MOUs, term sheets, Share/Asset Purchase Agreements (SPA/APA), Shareholders’ Agreements (SHA), and merger documents.
• Formulate conditions precedent (CPs), representations & warranties, indemnities, price adjustment clauses, termination rights, and risk mitigation strategies; oversee closing binders and sign-off checklists.
• Evaluate regulatory requirements spanning investment, corporate law, antitrust/economic concentration, foreign exchange, and capital markets in coordination with Finance & Investment teams.

3. Corporate Legal Operations & High-Value Transactions (20%)

• Evaluate legal stances on land acquisition, urban planning, real estate business, construction, corporate finance, guarantees, labor, and IP.
• Verify legal capacity, execution authority, approval workflows, enforceability, and protective covenants in major contracts.
• Track legislative updates to issue prompt regulatory alerts and update standard operational guidelines, contract templates, and licensing procedures.

4. Internal Audit & Compliance Management (15%)

• Develop risk maps, schedule annual compliance audits, and execute periodic or surprise inspections targeting high-risk operations.
• Monitor organizational adherence to internal charters, board resolutions, delegation matrices, and conflict-of-interest policies.
• Analyze audit findings, assign risk ratings, drive corrective action plans, and track issues through resolution or formal risk acceptance.
• Report severe infractions, data concealment, or high-level risk metrics immediately to top executives.

5. Executive Advisory & Dispute Resolution (10%)

• Deliver strategic counsel to the CEO/BOD regarding legal exposure, risk appetite, and contingency mechanisms; escalate objections when necessary.
• Manage commercial disputes, regulatory inspections, and litigation strategy; oversee evidence gathering, negotiation terms, and tribunal representation.
• Represent the organization before regulatory authorities, key partners, and dispute resolution bodies under valid authorization.

6. Team Leadership & External Counsel Oversight (10%)

• Supervise, evaluate, and mentor departmental staff while maintaining strict service level agreements (SLAs), version control, and confidentiality standards.
• Implement peer-review mechanisms to uphold professional independence and prevent conflicts of interest.
• Select, manage, and evaluate external law firms and legal experts to optimize costs, scope, and deliverable quality.

7. Group Legal Governance & Reporting (10%)

• Maintain oversight of subsidiary corporate records, legal representatives, intra-group transactions, and statutory licensing obligations.
• Coordinate legal support for member companies through formal service agreements, group management charters, or designated authorizations.
• Deliver monthly, quarterly, and annual executive reports on legal risks, litigation progress, and internal audit remediations.

• Bachelor’s Degree in Law (LL.B.) required.
• Advocate Practicing Certificate, Master of Laws (LL.M.), or professional certifications in Risk Management, Compliance, or Internal Audit are highly advantageous.
• Minimum 8 years of corporate legal or law firm experience, with at least 3 years in a managerial or head of department capacity.
• Proven background in real estate development, investment, construction, or parent-subsidiary enterprise models.
• Mandatory M&A Expertise: Direct hands-on experience leading legal due diligence, deal structuring, contract negotiation, and deal closing for one or more M&A, project transfer, or corporate restructuring deals.
• Deep expertise in corporate, land, investment, real estate business, construction, antitrust, labor, and contract law.
• Strong commercial acumen and contract drafting skills; capability to synthesize complex legal issues into concise executive briefs.
• Systematic thinking with a risk-based auditing mindset and structured problem-solving approach.
• Proficiency in written English for legal drafting, contract review, and statutory documentation; English negotiation capability is a distinct plus.
• Tech-savvy with Microsoft 365, document management tools, virtual data rooms (VDR), and digital workflow systems.
• High level of integrity, professional courage, objectivity, and confidentiality. Strong pressure tolerance and ability to balance compliance standards with business goals.
