Mô tả công việc:

Draft, review, negotiate, and manage a wide range of commercial contracts, including NDA, MOU, Consortium Agreements, Collaboration Agreements, EPC/EPCI contracts, engineering & consultancy agreements, service agreements, subcontracts, and supply contracts.
Lead contract negotiations with clients, consortium partners, subcontractors, and suppliers.
Develop and standardize contract templates to enhance legal protection and operational efficiency.
Provide legal support during tendering and bidding processes by identifying contractual risks and recommending appropriate risk allocation strategies.
Advise management and project teams on legal matters relating to corporate, construction, investment, labor, and commercial operations.
Ensure business activities comply with Vietnamese laws and relevant international legal principles, particularly English law.
Monitor legal and regulatory developments affecting the energy industry and provide timely recommendations.
Review internal policies, governance documents, and corporate procedures.
Ensure compliance with company regulations, delegation of authority, approval processes, and document control requirements.
Conduct legal compliance training and promote ethical business practices across the organization.
Handle contractual claims, disputes, litigation, arbitration, and regulatory investigations.
Coordinate and manage external legal counsel.
Prepare legal notices, claims, responses, and other dispute-related documentation.
Lead and develop the Legal team while promoting a collaborative and solution-oriented working culture.
Improve legal documentation systems, contract administration, and reporting processes.
Support business objectives through strategic legal planning and risk management.

Yêu cầu công việc:

Bachelor's Degree or above in Law; additional qualifications in International Business Law or Energy Law are an advantage.
Minimum 7 years of relevant legal experience, preferably within EPC/EPCI contracting and project-based environments.
Strong hands-on experience drafting, reviewing, and negotiating EPC/EPCI contracts in the Oil & Gas and/or Renewable Energy industries.
Solid understanding of Vietnamese law with practical knowledge of English law principles.
Strong commercial awareness, negotiation, analytical, and risk management skills.
Excellent communication and stakeholder management abilities.
Fluent in both English and Vietnamese, written and spoken.
